1.- Introduction

The EUROTEX Code of Ethics develops the ethical principles contained in the Corporate Values and has been drawn up taking into account the international business recommendations of good governance and the principles of corporate social responsibility accepted by the Group. The values and behavioral guidelines contained herein should govern and guide the professional behavior of all its members.

In order to achieve excellence in its activities and as a company committed to ethical principles, transparency and leadership, this Code of Ethics is presented as a necessary and indispensable mechanism to promote a culture of ethics and compliance with the law in force within EUROTEX.

The Eurotex Code of Conduct supports ethical and responsible behavior. In our company, looking the other way can never be the right solution. We raise our hand, even if this is not comfortable and pleasant. In case of doubt, we should seek advice and seek appropriate assistance. The management of the company is convinced that our Code of Conduct is a fundamental key to the success of our Group and its brands. Therefore, we ask you to use the Code of Conduct in your workplace and seek advice in case of doubt. Let us join together to ensure that Eurotex is not only synonymous with excellence in its products and services, but also with integrity and honesty.

2.- Purpose and Scope of Application.

The EUROTEX Code of Ethics includes the guidelines that must guide the ethical behavior of all its members, understood as managers, employees, collaborators and other people involved in the daily business activity of the Group. It also aims to share with all EUROTEX stakeholders the corporate values that are part of our corporate culture.

The purpose of this Code of Ethics is also to prevent criminal conduct and any other unlawful behavior in the performance of business activities by those bound by it, and to establish the necessary control and monitoring mechanisms to ensure due compliance.

The personal scope of application of this Code of Ethics covers all members of the administrative bodies, managers and employees of the entities that are part of EUROTEX, in all its workplaces, regardless of their hierarchical or functional level and their contractual relationship. These persons are hereinafter referred to as EUROTEX members. The companies that make up EUROTEX are: Eurotex TCH S.A. and Industrias Químicas, S.A.

Likewise, it shall also be extended to those business partners related to the Group, when possible and when circumstances so advise, or to any other individual or legal entity related to EUROTEX, in strict compliance with the Law.

As one of the selection criteria in business relationships carried out within the EUROTEX activity, it shall be taken into account that the companies or professionals have assumed principles of behavior and management similar to those set forth in this Code of Ethics.

The lack of knowledge of this Code of Ethics does not exempt from its compliance, being EUROTEX's obligation to inform all related persons about the existence of the same, providing the necessary means and resources so that the rules contained therein are known and understood.

In case of doubt or conflict of interpretation of the regulations contained herein, the persons subject to this Code of Ethics may obtain assistance through the Ethics Channel or by contacting directly the Human Resources or Management body of EUROTEX.

3.- General rules of conduct

3.1 Legality

All persons subject to this Code of Ethics shall maintain, in the development of their professional activities, a strict respect for the legal regulations in force, and must avoid any conduct that negatively affects the values and interests of the Group. The effective observance of this obligation requires that the members of EUROTEX make an effort to be sufficiently familiar with the general and specific rules of their own responsibility or function.

EUROTEX will not tolerate any act contrary to the law in force, to this Code of Ethics and to its rules of development, entailing sanctions for offenders in accordance with the provisions of its disciplinary regime.

Any indications or orders contrary to the law, regulations or any other applicable rules, both external and internal, received by the persons subject to this Code must be communicated confidentially to the compliance body through the Ethics Channel. Any order that contravenes the provisions of a legal regulation in force must not be obeyed.

EUROTEX will respect and abide by the judicial or administrative resolutions, but reserves the right to appeal in the terms established by law, before as many instances as appropriate, the referred decisions or resolutions, when it understands that they are not in accordance with the law and contravene its interests.

3.2. Loyalty

All persons subject to this Code of Ethics must act with loyalty and good faith, ensuring at all times to maintain the highest ethical and moral standards in their actions and behavior, avoiding situations that may cause damage to the Group.

3.3. Avoidance of conflicts of interest

Persons subject to this Code of Ethics may not participate in decision-making in situations where there is a conflict of interest, between personal and EUROTEX interests, that may affect their performance.

In the event of a potential or actual conflict of interest, persons subject to this Code of Ethics must notify EUROTEX as soon as possible through the Ethics Channel or directly to the compliance body.

Human and labor rights

All actions and practices carried out by the persons subject to this Code of Ethics shall be carried out in full compliance with and with scrupulous respect for the human rights and public freedoms recognized in the United Nations Universal Declaration of Human Rights, the fundamental principles and rights at work set forth in the Declaration of the International Labor Organization and the provisions contained in the UN Global Compact on human rights, labor, environment and anti-corruption.

EUROTEX undertakes not to use child labor, forced or coercive labor or to hire workers illegally established in Spain. It also promotes and respects the freedom of association, opinion and expression of its employees, as well as the right to collective bargaining.

3.5. Respect for people and equal opportunities

EUROTEX will promote, in observance of the general principle of non-discrimination on the grounds of race, color, nationality, social origin, age, sex, marital status, sexual orientation, ideology, political opinions, religion or any other personal, physical or social condition of all persons and entities related to its business activity, equal opportunities and treatment among all its employees, as well as with regard to access to employment, continuous training, working conditions and internal professional promotion.

Expressly rejects any manifestation of violence, harassment, abuse of authority, defamatory public statements and any other conduct likely to generate an intimidating or offensive environment for the rights of persons subject to this Code of Ethics.

3.6. Occupational health and safety

EUROTEX will promote a comprehensive occupational health and safety policy, with specific preventive measures designed on the basis of current legislation and duly recorded in the Occupational Risk Prevention Plan.

Health and safety in the performance of professional duties is considered an individual responsibility and a condition of employment. Therefore, unsafe behavior that may cause serious damage to persons and/or facilities shall not be permitted. EUROTEX prohibits access to its facilities and the performance of their professional duties to personnel under the influence of alcohol, drugs, narcotics or psychotropic substances.

EUROTEX also requires third parties with whom it does business to observe and apply the latest occupational health and safety regulations.

Corruption prevention

No person subject to this Code of Ethics shall solicit, accept, offer or deliver any gifts, presents, gifts, gifts or other commercial attentions, which due to their value, characteristics or circumstances are outside social customs or may involve an alteration in the development of their commercial, administrative, labor or professional activities, being expressly prohibited the payment in cash with the purpose of influencing the decision making of third parties.

These prohibitions extend to the performance of any type of behavior or activity aimed at unlawfully influencing the behavior of a public official, public authority or anyone exercising any public authority to adopt, or fail to adopt, a decision that could favor the company. This prohibition is extended to other persons who are closely linked by family or friendship ties to the above.

Gifts that have a symbolic or irrelevant value, do not result in undue benefits, do not cause a conflict of interest and are within the customs and practices of EUROTEX's business are outside the scope of this code of conduct.

It is a mandatory criterion for all persons subject to this Code to communicate to the compliance body any gift, present, gift or attention received that contravenes the provisions of this standard of conduct. In case of doubt, gifts or other benefits shall not be accepted or given, offered, promised, received, requested or solicited.

3.8. Information processing

Information is one of the Group's main assets in the management of its business activities. All EUROTEX members shall use this resource with the utmost caution, preserving its integrity, confidentiality and availability, and minimizing the risks arising from its disclosure and misuse.

a) Reserved and confidential information:

It shall be presumed that all information received by EUROTEX members in the performance of their duties, of a non-public nature, shall be considered reserved and confidential, and shall be subject to professional secrecy.

It is the responsibility of all Group professionals to apply the procedures and resources made available to them to protect information, keeping the content of their work confidential in their dealings with third parties. It shall be a contravention of this Code of Ethics to disclose confidential information to third parties or to misuse it.

All EUROTEX employees, as well as those collaborators or third parties contracting with the Group, shall undertake to maintain confidentiality. In the event of termination of the employment or professional relationship, all information to which access has been gained as a result of the contractual relationship shall be returned to EUROTEX, including any documents or storage devices; in any case, the duty of confidentiality shall survive.

b) Transparency and accuracy of information:

EUROTEX undertakes to provide complete and truthful information about the Group and to cooperate with supervisory or inspection bodies or entities in any way required in order to facilitate administrative supervision.

The persons subject to this Code of Ethics shall ensure that all transactions with economic significance carried out on behalf of the Group are properly and reliably recorded in a clear, accurate, complete and truthful manner in the accounting records, so that they represent a true and fair view of the transactions carried out. Therefore, EUROTEX undertakes to comply strictly with commercial, accounting, financial, tax, fiscal and customs regulations.

Conduct aimed at avoiding tax obligations or obtaining benefits to the detriment of the Treasury, Social Security or equivalent bodies is expressly prohibited.

c) Right to privacy and protection of personal data:

EUROTEX respects the right to privacy of its members and protects the personal data of its customers, employees, collaborators and any other persons who have any kind of relationship with the Group.

The processing of personal data shall be carried out in accordance with the relevant national and EU regulations in force. EUROTEX shall adopt the necessary technical and organizational measures to ensure the security of personal data and prevent its alteration, loss, unauthorized processing or access, taking into account the nature of the data stored, the risks to which they are exposed and the state of the art.

3.9. Use of corporate assets and resources

EUROTEX makes available to its members the necessary resources for the performance of their professional activity and provides all the means for their adequate protection and safeguarding.

Persons subject to this Code are responsible for the proper use and protection of assets and resources owned by the Group or third parties, and must use them exclusively for the performance of their duties. These include intellectual property, facilities, equipment, the website and financial resources. They must also protect and preserve them from any improper use that could be detrimental to the company's interests.

EUROTEX does not permit the downloading, installation or use of files or programs from external sources that may pose a risk to the Group's security or constitute an infringement.

3.10. Market practices

EUROTEX is committed to participate in the markets promoting free competition and complying with the laws established in this regard in the different countries where it operates. Its members shall avoid any conduct that may constitute an abuse or unlawful restriction of competition. With regard to the possible participation of EUROTEX in public or private bids, tenders and auctions, the necessary principles of action shall be observed to ensure respect for the free formation of prices resulting from the practice of such acts.

Furthermore, EUROTEX prohibits all its members from engaging in advertising activities or using marketing methods that omit relevant information for the customer or that, for any other reason, may be considered misleading. Therefore, commercial practices that involve providing incomplete, ambiguous or misleading information or that, by action or omission, may mislead the customer as to the characteristics of the products or their suitability shall be avoided.

3.11. Intellectual and industrial property

All persons subject to this Code of Ethics have the obligation to respect and protect the intellectual and industrial property rights of EUROTEX or any other third parties, and must obtain the corresponding licenses or authorizations for their use from the legitimate owners of such rights.

Intellectual and industrial property created by Group employees in the performance of their professional duties belongs to EUROTEX, unless otherwise expressly agreed.

3.12. Avoidance of irregular payments

EUROTEX offers its customers simple, secure and efficient payment mechanisms. The persons subject to this Code undertake to guarantee the confidentiality and transparency of all financial transactions, as well as their faithful reflection in the accounting, not allowing payments and collections in cash or by means of bearer checks in excess of the limit established in the applicable regulations.

3.13. Money laundering and terrorism prevention

EUROTEX undertakes not to maintain any type of business relationship or any other type of relationship with persons or entities that may have the ultimate purpose of incorporating into the legal traffic goods, profits or money of illicit origin or financing terrorist activities. Therefore, EUROTEX members shall pay special attention to the prevention of conduct that could be related to money laundering and the financing of terrorism, as well as to the collaboration or glorification of terrorism, and shall apply the appropriate due diligence measures and provide maximum cooperation to the competent authorities.

3.14. Protection of the environment and urban planning

EUROTEX carries out its activities with absolute respect for the environment and the balance of natural systems, complying with the standards established in environmental regulations and minimizing the impact of its activities.

Persons subject to this Code of Ethics shall perform their professional duties with respect for the environment, adopting behavioral guidelines aimed at reducing the consumption of natural resources, pollution and waste, promoting energy saving and making efficient use of the facilities, equipment and means of work placed at their disposal.

Likewise, in their relations with contractors or external collaborating companies, the Group's employees shall transmit these principles and demand compliance with the environmental procedures and requirements applicable in each case.

The actions carried out by the Group relating to the promotion, execution or technical management of urbanization, construction, building or rehabilitation works will be carried out with the utmost respect for the applicable land and urban planning regulations, both at state, regional and local level.

Help / Contact / Complaints System

Our first point of contact for any questions or concerns about the Code of Conduct is our manager or the Human Resources Department. In addition, we can contact the Company's Chief Executive Officer or send an email to: denunciascanaletico @eurotex.es

If we have reasonable suspicions of a possible breach of the Code of Conduct or any Serious Regulatory Violation in our work environment, we can report it through the Company's Whistleblower System by indicating our name or anonymously.

Eurotex employees in a management position must act as role models and are obliged to report reasonable suspicions of a Serious Regulatory Violation through the channels provided for this purpose. Failure by such employees to comply with this obligation constitutes a Serious Regulatory Violation subject to sanction.

The Whistleblower System provides us with points of contact to report, in particular, Serious Regulatory Violations in relation to our Company.

Our Whistleblower System is based on standardized systems, agile processes, confidential treatment of information and protection of whistleblowers, Affected Parties and the Company. The conscious misuse of the Whistleblower System constitutes a Serious Regulatory Violation subject to sanction. We do not tolerate any kind of pressure on whistleblowers or discrimination against them, as this also constitutes a Serious Regulatory Violation subject to sanction. The principle of presumption of innocence applies to the Affected Parties until such time as their participation in the Regulatory Violation is proven. Consequently, an investigation shall not be initiated until there is clear evidence of a Serious Regulatory Violation.

In turn, according to the new Law 2/2023, of February 20, regulating the protection of persons who report regulatory violations and the fight against corruption, requires companies and public administrations to have an internal information system (communications channel, ethical channel or whistleblower channel).

Con la finalidad de que las personas informantes puedan comunicar la detección de infracciones del Derecho de la UE, infracciones penales o administrativas muy graves o graves, con todas las garantías, la nueva norma establece los requisitos que deben cumplirse en los canales de comunicación, describiendo un sistema para su gestión y la protección de los informantes, así como destacando expresamente la prohibición de represalias junto con medidas de apoyo y protección (Título VII).

La norma extiende la protección a todos aquellos que tengan o hayan tenido vinculación laboral o profesional con la organización, incluyendo a aquellas personas que ya han finalizado su relación profesional, voluntarios, trabajadores en prácticas o en período de formación y personas que participan en procesos de selección. Asimismo, esta protección se extiende hasta 2 años siguientes al momento de la comunicación, aunque podría prolongarse en caso de que hubiera causas que lo justifique.

Garantizar la confidencialidad y, en su caso, el anonimato, así como el cumplimiento de la normativa sobre protección de datos, forman parte de los pilares que deben respetar estos canales de comunicación o sistemas de información.
